  "abstract": "<p>ADVISOR HABIB JEMAL (LLB, LL.M, Assistant of Professor)</p>\n\n<p>There are two kinds of shareholders in every corporation. Those are minority and majority shareholders. Minority shareholders are a double disadvantage as a result of management control and majority governance. This research finds out that as Ethiopia was implementing for more than half of a century a commercial law which was enacted in 1960 most of the provision protecting minority shareholders were absent. The newly promulgated company law of 2021 accords a better protection compared to the previous one. Most of the interesting protections included in this new law are the introduction of the two tier board which has a role in protecting minority shareholders, the cumulative voting rights, the right of the minority shareholders to leave the company or the squeeze-out by the majority shareholders, the right of preemptions by the minority shareholders and the amendments on derivative suits. But as deficiencies the research finds also the lack of definitions who the minority shareholders are, whether these shareholders are recognized as shareholders having different status and can have different voting right on their business, the permissiveness of the law on the existence of the supervisory board, the lack in the right of derivative action of the minority shareholders and the non existence of the right to request the winding up of the company by the minority shareholders when their right is in danger for the company may act not in accordance to its purpose. Finally, the researcher recommended some comments as should be incorporated in future under the Commercial code to protect minority shareholders from abuse by the majority shareholders and the management of the companies too.
